These Terms and Conditions (“Terms”) govern your access to and use of the Praxis website, its pages, content, features, forms, communications, and other online resources that link to these Terms (collectively, the “Website”). By accessing, browsing, submitting information through, or otherwise using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy; if you do not agree with these Terms, you should not use the Website. These Terms apply to Website visitors, prospective clients, patients or individuals seeking international patient assistance, representatives of healthcare organizations, suppliers, vendors, business partners, and other users of the Website. The Website is intended for individuals who are legally capable of entering into binding agreements under applicable law; if you use the Website on behalf of a company, organization, patient, family member, or other person or entity, you represent that you have appropriate authority to do so, and your use of the Website does not by itself establish an agency, fiduciary, partnership, joint venture, employment, physician-patient, healthcare-provider-patient, or other special relationship with Praxis. Praxis Integrated Healthcare LLC provides healthcare-related consulting and integrated solutions that may include Healthcare Consulting, Digital Health Solutions, Healthcare Procurement, and International Patient Services; descriptions of services appearing on the Website are provided for general informational and marketing purposes and do not constitute a binding commitment to provide any particular service, and Praxis may determine whether, under what circumstances, and subject to what separate agreement it is able to provide a requested service. The Website itself is informational and is not a medical service, medical practice, hospital, clinic, telemedicine service, emergency service, diagnostic service, or substitute for care from a licensed healthcare professional. Nothing contained on the Website, including articles, descriptions, graphics, educational materials, communications, resources, general healthcare information, or responses to preliminary inquiries, constitutes or should be interpreted as medical advice, diagnosis, treatment, a medical opinion, a prescription, clinical decision-making, or a recommendation that any specific treatment, procedure, medication, healthcare provider, hospital, clinic, product, or course of action is medically appropriate for any individual. Praxis does not establish a physician-patient or other healthcare-provider-patient relationship merely because an individual visits the Website, contacts Praxis, submits an inquiry, receives general information, or uses International Patient Services. Individuals are responsible for obtaining medical advice, diagnosis, treatment recommendations, second opinions, and other clinical services directly from appropriately licensed healthcare professionals. Never disregard professional medical advice, delay seeking medical care, discontinue treatment, or make medical decisions solely because of information obtained through the Website or communications of a non-clinical nature from Praxis. The Website and Praxis International Patient Services are not intended for medical emergencies; if you are experiencing or believe you may be experiencing a medical emergency, you should contact an appropriate emergency medical service, hospital, or licensed healthcare provider in your location and should not rely on the Website, a Website contact form, or Praxis business communications for emergency assistance. Praxis International Patient Services is intended to provide non-clinical healthcare navigation, coordination, facilitation, administrative support, and assistance connecting individuals with independent healthcare providers and institutions. Praxis may help an individual identify or connect with potentially relevant hospitals, clinics, physicians, treatment centers, or other healthcare organizations based on information provided by the individual and the availability of such organizations, but Praxis does not independently determine whether a particular healthcare provider, treatment, procedure, institution, or destination is clinically appropriate for an individual, and identification, introduction, facilitation, or coordination involving a healthcare provider does not constitute an endorsement, medical recommendation, certification, guarantee of quality, guarantee of suitability, or representation that a provider will accept, diagnose, treat, or achieve any particular result for an individual. Hospitals, clinics, physicians, laboratories, treatment centers, and other healthcare professionals or organizations with whom a person may be connected through Praxis are independent third parties unless expressly stated otherwise in a written agreement, and such healthcare providers are solely responsible for their own professional qualifications, licensure, clinical judgment, medical evaluation, diagnosis, treatment plans, procedures, patient safety obligations, medical records, informed-consent processes, pricing, billing, clinical outcomes, privacy practices, regulatory compliance, and professional conduct. Praxis does not control and is not responsible for the clinical acts or omissions of independent healthcare providers. The decision whether to accept a patient, request medical documentation, provide a consultation, make a diagnosis, recommend treatment, schedule an appointment or procedure, perform treatment, discharge a patient, or provide follow-up care belongs to the applicable independent healthcare provider. Praxis does not guarantee that any healthcare institution or professional will accept a prospective patient, provide an appointment within a particular timeframe, offer a particular procedure, provide a particular price, obtain insurance authorization, issue a favorable medical opinion, or achieve a successful clinical outcome. Any healthcare costs, hospital charges, professional fees, laboratory or diagnostic charges, medications, treatment costs, insurance obligations, deductibles, travel costs, accommodation costs, governmental fees, taxes, or other third-party expenses are the responsibility of the individual or other responsible party unless expressly stated otherwise in a separate written agreement. Information regarding estimated healthcare costs, availability, timing, provider capabilities, or other third-party services may change without notice and should be confirmed directly with the relevant provider before reliance or payment. Praxis generally seeks to minimize its handling of detailed patient medical information. Individuals may voluntarily disclose limited health-related information when describing the type of assistance sought, such as a diagnosis, general condition, requested medical specialty, or type of treatment being considered; however, Praxis generally does not request or routinely maintain complete medical records, imaging files, pathology reports, laboratory results, extensive treatment histories, physician notes, prescriptions, genetic information, or similar detailed clinical documentation through the Website. Where clinical documentation is required for evaluation by a hospital, clinic, physician, or other healthcare provider, individuals will generally be directed to transmit such information directly to the relevant healthcare provider or through a secure method designated by that provider. Users should not submit detailed medical records, government identification documents, passwords, payment credentials, or other highly sensitive information through general Website forms or ordinary business email unless specifically instructed to do so through an appropriate channel. Praxis’s involvement in healthcare-related activities does not by itself establish that Praxis is a healthcare provider, HIPAA covered entity, or HIPAA business associate; where Praxis enters into a particular relationship under which it is legally acting as a business associate under the Health Insurance Portability and Accountability Act of 1996 and applicable regulations, the obligations applicable to that relationship will be governed by applicable law and any required Business Associate Agreement, and nothing in these Terms expands the application of HIPAA beyond its lawful scope or represents that every item of health-related information received by Praxis is Protected Health Information under HIPAA. Users who provide information concerning another person, including a patient, family member, employee, colleague, or client, represent that they have appropriate authority, permission, or another lawful basis to provide that information where required by applicable law. International Patient Services may involve communications or coordination across jurisdictions, and users acknowledge that medical licensing requirements, standards of care, healthcare regulations, patient rights, privacy laws, treatment practices, pharmaceutical rules, insurance systems, medical-device requirements, and other laws can differ significantly between countries, states, territories, and healthcare systems. Praxis does not represent that healthcare services legally available in one jurisdiction are available, suitable, lawful, reimbursable, or medically appropriate in another jurisdiction. Users are responsible for independently verifying requirements applicable to their circumstances and for complying with immigration, passport, visa, customs, travel, insurance, vaccination, financial, and other governmental requirements associated with international healthcare travel. Praxis does not guarantee issuance or approval of any passport, visa, travel authorization, entry permission, immigration status, insurance authorization, government approval, or other authorization, and unless expressly provided under a separate written agreement, Praxis is not acting as an immigration adviser, travel agency, insurer, financial institution, or legal representative. Any general information concerning travel, entry requirements, healthcare systems, government requirements, or similar matters is provided for convenience only and should be independently verified with the appropriate governmental authority or qualified professional. Healthcare Consulting services described on the Website may include strategic, operational, organizational, quality, management, policy, process-improvement, or related healthcare consulting services; Website content concerning such matters is general information and does not constitute legal, regulatory, accounting, tax, financial, clinical, accreditation, or other licensed professional advice. Organizations are responsible for obtaining advice from appropriately qualified legal counsel, accountants, clinicians, compliance professionals, accreditation specialists, or other licensed professionals where such expertise is required. Praxis may provide Digital Health Solutions or information concerning digital transformation, health technology, workflow, data, interoperability, patient engagement, digital tools, or related matters; Website descriptions do not guarantee that any technology, system, software, implementation, strategy, or digital solution will meet a particular regulatory, cybersecurity, interoperability, clinical, operational, financial, or technical requirement unless specifically agreed in writing following an appropriate assessment. Technology implementations may depend on third-party systems, infrastructure, vendors, integrations, regulatory requirements, client configurations, data quality, cybersecurity controls, and other factors beyond Praxis’s control. Praxis may provide Healthcare Procurement services, including assistance with sourcing, identifying, evaluating, facilitating, procuring, or trading healthcare-related equipment, supplies, technologies, or other products as permitted by applicable law. Product descriptions appearing on the Website are general and do not constitute a warranty, certification, regulatory approval, clinical endorsement, guarantee of merchantability, guarantee of fitness for a particular medical purpose, or representation that a product is legally authorized for every market or intended use. Unless expressly stated in applicable transaction documents, third-party manufacturers, suppliers, distributors, logistics providers, and other parties remain responsible for representations, specifications, warranties, certifications, regulatory approvals, labeling, quality controls, manufacturing standards, and obligations applicable to their respective products and services. No Website inquiry, form submission, email, telephone conversation, meeting request, quotation request, or preliminary discussion obligates Praxis to accept an engagement or provide services. Praxis may accept or decline potential engagements in its discretion, subject to applicable law. You agree to use the Website only for lawful purposes and in a manner consistent with these Terms. All content available through the Website, including the Praxis name, Praxis IHC name, logos, trademarks, service marks, designs, graphics, icons, photographs, videos, text, copy, reports, layouts, software, documentation, methodologies, presentations, downloadable materials, and other original content, is owned by Praxis, licensed to Praxis, or used with permission and is protected by applicable intellectual-property laws. Except as expressly permitted, no Website content may be copied, reproduced, modified, republished, distributed, sold, licensed, displayed, transmitted, commercially exploited, or used to create derivative works without prior written authorization from Praxis or the applicable rights holder. If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision will be interpreted, limited, or severed to the minimum extent necessary, and the remaining provisions will continue in effect to the fullest extent permitted by law. Rights and remedies provided under these Terms are cumulative except where applicable law requires otherwise. These Terms will be governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws principles, except to the extent that mandatory laws of another jurisdiction apply and cannot lawfully be waived. Subject to any non-waivable consumer right to bring proceedings elsewhere, disputes arising solely from use of the Website or these Terms shall be brought in a court of competent jurisdiction located in Wyoming, and the parties consent to the jurisdiction of such courts to the extent legally permissible.
